Subscription Terms

This agreement is made between Crov Inc. (hereinafter referred to as "Crov") and small and medium-sized US retailers (hereinafter referred to as "Partner") to develop long-term partnership. This Service Agreement made effective on payment date and all information approved by Crov. Crov and Partner are collectively referred to as "Parties" and individually as a "Party".

1. The Partner agrees and authorizes Crov to register or update a business account on Crov.com based on the above information provided by the Partner. The Partner shall comply with all rules and regulations of Crov when using the account. If the Partner violates the relevant rules and regulations without authorization, Crov reserves the right to unilaterally terminate this agreement and all the fees are non-refundable. All losses caused to Crov shall be born by the Partner.

2. Payment and Pricing Terms. Total Annual Service Fees are due upfront under this Service Order and will be paid upon execution of this Service Order before Implementation commences.

3. Terms and Conditions. This legally binding Agreement is governed by the Terms of Use between the Partner and Crov. The Agreement includes any and all exhibits, appendices, addendums, and attachments.

4. Signee Responsibility. Must Register CROV Business Account and maintain activities. Must share product needs with the CROV sales representative(s).

5. When the Service Commencement made effective, the Parties agree to add the CROV Retailer Partnership as described in the Fee Summary below. The Term of this agreement will be for the number of months included in the package selected below.

6. Confidentiality. Each party acknowledges that certain information confidential and/or proprietary in nature may be disclosed to the other during the term of this Agreement, including but not limited to, pricing/financial information, customer lists, marketing plans, product information, etc. ("Confidential Information"). Each party acknowledges such Confidential Information is owned exclusively by the disclosing party. Each party shall take reasonable precautions to safeguard the Confidential Information of the other party from exposure to, or appropriation by, any third parties. If either party breaches the confidentiality obligation, the observant party has the right to terminate this agreement and request the defaulting party to compensate for the resulting loss.
